You own the images you create, credits expire after 90 days (one-time purchases) or at the end of your billing period (subscriptions), and you must be 18 or older to use the service.

1. Acceptance of Terms

Welcome to deDesigned. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and deDesigned OÜ ("deDesigned," "we," "us," or "our"), a company registered in Estonia.

By accessing or using our AI image generation service (the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.

We reserve the right to update these Terms at any time. Your continued use of the Service after any changes constitutes acceptance of the new Terms.

2. Eligibility

To use our Service, you must:

  • Be at least 18 years of age or the age of legal majority in your jurisdiction, whichever is higher;
  • Have the legal capacity to enter into a binding contract;
  • Not be prohibited from using the Service under applicable laws;
  • Not have been previously banned or removed from the Service.

By using the Service, you represent and warrant that you meet all eligibility requirements.

3. Description of Service

deDesigned provides an AI-powered image generation platform designed for product design and industrial design purposes. Our Service allows you to:

  • Generate images using AI models based on text prompts and optional reference images;
  • Store and manage generated images in your personal library;
  • Organize images into projects;
  • Download generated images for personal or commercial use.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We will make reasonable efforts to notify users of significant changes.

4. User Accounts

4.1 Account Creation

To access the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4.2 Account Security

You agree to:

  • Keep your password secure and confidential;
  • Notify us immediately of any unauthorized access or security breach;
  • Not share your account with others or allow others to access your account.
4.3 Account Responsibility

You are solely responsible for all content generated through your account and all activities that occur under your account.

5. Credits and Payments

5.1 Credit System

Our Service operates on a credit-based system. Credits are required to generate images, with the number of credits consumed varying based on factors including model selection, resolution, and generation complexity.

5.2 Credit Purchases

Credits can be purchased through:

  • One-time purchases: Credit packages that do not automatically renew;
  • Subscriptions: Monthly plans that provide a recurring allocation of credits.
5.3 Credit Validity and Expiration
  • One-time purchase credits: Expire 90 days after the date of purchase. Unused credits will be forfeited upon expiration.
  • Subscription credits: Expire at the end of each billing period. Unused subscription credits do not roll over to the next billing period.
5.4 Payment Processing

All payments are processed securely through Stripe. By making a purchase, you agree to Stripe's terms of service. We do not store your complete payment card information on our servers.

5.5 Pricing

All prices are displayed in US Dollars (USD) unless otherwise indicated. Prices are subject to change, but changes will not affect existing active subscriptions until renewal.

5.6 Taxes

Prices may be exclusive of applicable taxes (including VAT for EU customers). You are responsible for paying any applicable taxes.

6. Refund Policy

6.1 Right of Withdrawal (EU Consumers)

If you are a consumer in the European Union, you have the right to withdraw from your purchase within 14 days of purchase without giving any reason, provided that:

  • You have not used any of the purchased credits;
  • You request the refund within 14 days of the original purchase date.
6.2 Refund Process

To request a refund, contact us at hello@dedesigned.com with your account email and order details. Approved refunds will be processed within 14 days using the original payment method.

6.3 Non-Refundable Items

The following are not eligible for refunds:

  • Credits that have been partially or fully used;
  • Credits that have expired;
  • Refund requests made after 14 days from purchase.
6.4 Subscription Cancellation

You may cancel your subscription at any time. Upon cancellation:

  • You will retain access to your remaining subscription credits until the end of the current billing period;
  • Your subscription will not renew for the next billing period;
  • No partial refunds are provided for unused portions of the current billing period.

7. Intellectual Property and Ownership

7.1 Your Content

You own all rights to the images you generate using our Service. Upon successful generation and payment (credit deduction), you are granted full ownership of the generated images, including:

  • The right to use, reproduce, modify, and distribute the images;
  • The right to use the images for commercial purposes;
  • The right to create derivative works;
  • The right to sublicense these rights to others.
7.2 Input Content

You retain ownership of any content you upload to the Service (such as reference images). You represent and warrant that you have the necessary rights to use any content you upload.

7.3 deDesigned's Intellectual Property

The Service, including its software, design, logos, trademarks, and documentation, is owned by deDesigned and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except as necessary to use the Service.

7.4 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a non-exclusive, perpetual, royalty-free license to use such feedback to improve our Service.

8. Prohibited Content and Conduct

8.1 Prohibited Content

You may not use the Service to generate, upload, or distribute content that:

  • Is illegal: Depicts or promotes illegal activities, including but not limited to counterfeit goods, weapons, controlled substances, or any content that violates applicable laws;
  • Is adult or sexually explicit: Contains nudity, pornography, or sexually explicit material;
  • Involves deepfakes or impersonation: Creates realistic depictions of real individuals without their consent, or impersonates any person or entity;
  • Is hateful, violent, or discriminatory: Promotes hatred, violence, discrimination, or harm against individuals or groups based on race, ethnicity, religion, gender, sexual orientation, disability, or other protected characteristics;
  • Infringes intellectual property: Violates copyrights, trademarks, patents, or other intellectual property rights of third parties;
  • Is fraudulent or deceptive: Is intended to deceive, defraud, or mislead others;
  • Contains malware: Contains viruses, malware, or other harmful code.
8.2 Prohibited Conduct

You agree not to:

  • Attempt to circumvent, disable, or interfere with security features of the Service;
  • Use automated systems (bots, scrapers, etc.) to access the Service without permission;
  • Reverse engineer, decompile, or attempt to extract the source code of the Service;
  • Resell, sublicense, or commercially exploit the Service itself;
  • Use the Service in any way that could damage, disable, or impair the Service;
  • Violate any applicable laws or regulations.
8.3 Enforcement

We reserve the right to review content generated through our Service and take appropriate action, including content removal and account suspension, for violations of these Terms.

9. Termination

9.1 Termination by You

You may terminate your account at any time by contacting us at hello@dedesigned.com. Upon termination:

  • Your access to the Service will be revoked;
  • Unused credits will be forfeited (no refund for expired or remaining credits);
  • Your generated images may be deleted in accordance with our data retention policies.
9.2 Termination by deDesigned

We may suspend or terminate your account at any time if:

  • You violate these Terms;
  • Your use of the Service poses a security risk;
  • We are required to do so by law;
  • We discontinue the Service.
9.3 Effect of Termination for Violations

If we terminate your account due to a violation of these Terms, you will receive a pro-rated refund for any unused credits that were purchased but not yet expired, minus any applicable fees or damages. We reserve the right to withhold refunds in cases of severe violations, fraud, or abuse.

9.4 Survival

Sections relating to intellectual property, disclaimers, limitations of liability, indemnification, and governing law shall survive termination.

10. Disclaimers and Limitations

10.1 Service Provided "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 No Guarantee

We do not guarantee that:

  • The Service will be uninterrupted, secure, or error-free;
  • Generated images will meet your specific requirements or expectations;
  • The quality, accuracy, or reliability of any content generated through the Service.
10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEDESIGNED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10.4 Consumer Rights

Nothing in these Terms affects your statutory rights as a consumer under applicable law, including EU consumer protection laws. Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless deDesigned, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service;
  • Your violation of these Terms;
  • Your violation of any third-party rights, including intellectual property rights;
  • Any content you generate, upload, or distribute through the Service.

12. Governing Law and Disputes

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Estonia, without regard to its conflict of law provisions.

12.2 Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved as follows:

  • Informal Resolution: We encourage you to contact us first at hello@dedesigned.com to resolve any issues informally.
  • Jurisdiction: If informal resolution fails, disputes shall be submitted to the exclusive jurisdiction of the courts of Tallinn, Estonia.
12.3 EU Consumer Rights

If you are a consumer in the European Union, you may also have the right to submit disputes to the Online Dispute Resolution (ODR) platform provided by the European Commission at https://ec.europa.eu/consumers/odr.

13. Changes to Terms

We reserve the right to modify these Terms at any time. When we make changes:

  • We will update the "Last Updated" date at the top of this page;
  • For material changes, we will notify you via email or through the Service;
  • Your continued use of the Service after changes take effect constitutes acceptance of the new Terms.

If you do not agree to the modified Terms, you must stop using the Service and may request account termination.
